1. Overview

By accessing or using the Lucid Crew platform (“Platform”), you agree to these Terms of Service.

The Platform is operated by Lucid Crew, Inc. and may include white-labeled third-party technology used to deliver CRM, automation, communication, and marketing-related tools.

Use of the Platform is conditioned on your acceptance of these Terms.

2. Services Provided

The Platform may include:

  • CRM and pipeline management
  • Funnel and website tools
  • Email and SMS marketing
  • Automation workflows
  • Appointment scheduling
  • Reputation tools
  • AI-powered features
  • Third-party integrations

Access may be:

  • Paid subscription
  • Included in a marketing or service agreement
  • Provided at no charge at our discretion

We may modify, limit, or discontinue features at any time.

3. Account Responsibility

You are responsible for:

  • Securing your login credentials
  • All activity within your account and subaccounts
  • Ensuring all users comply with these Terms

We are not liable for unauthorized access due to your failure to secure your account.

4. Subaccounts and Client Use

If you create or manage subaccounts:

  • You are fully responsible for all activity within those accounts
  • Any violation by a subaccount is treated as your violation
  • You are responsible for your clients’ compliance with all laws

We may suspend or terminate any account or subaccount at our discretion.

5. Acceptable Use

You may not use the Platform for:

  • Spam or unsolicited messaging
  • Violations of TCPA, CAN-SPAM, or related laws
  • Misleading or deceptive practices
  • Illegal or harmful content

Violations may result in immediate suspension or termination without notice.

6. SMS, Email, and Communications Compliance

You are solely responsible for compliance with all messaging and privacy laws, including:

  • TCPA
  • CAN-SPAM
  • A2P 10DLC requirements
  • Applicable data privacy laws

You must:

  • Obtain and document proper consent
  • Maintain proof of opt-in
  • Provide opt-out mechanisms
  • Honor opt-outs immediately

7. Compliance Enforcement and Kill-Switch Authority

Lucid Crew reserves the right, at its sole discretion, to:

  • Suspend messaging capabilities, including SMS, email, or both
  • Restrict account functionality
  • Disable campaigns or automations

This may occur without notice if we believe your use may:

  • Violate laws or regulations
  • Expose us or our providers to risk
  • Harm platform integrity or deliverability

We are not liable for any losses resulting from such actions.

8. AI Features

The Platform may include AI tools.

You acknowledge that:

  • AI output may be inaccurate or inappropriate
  • You are responsible for reviewing all AI-generated content
  • You assume all risk related to its use

We are not liable for outcomes resulting from AI-generated content.

9. Third-Party Services

The Platform depends on third-party providers.

We are not responsible for:

  • Downtime or outages
  • Delivery failures
  • Policy or pricing changes

Your use of those services is subject to their terms.

10. Payments and Billing

If fees apply:

  • Fees are billed in advance unless stated otherwise
  • Payments are non-refundable unless agreed in writing
  • Failure to pay may result in suspension or termination

If bundled with a marketing agreement, that agreement governs billing.

11. Access and Payment Dependency

Access to the Platform is conditioned upon:

  • Active payment of applicable subscription fees, or
  • An active marketing or service agreement with Lucid Crew

If your account is tied to a marketing or service agreement:

  • Platform access is contingent upon that agreement remaining active and in good standing
  • Termination or cancellation of that agreement may result in immediate loss of access

If your account is subscription-based:

  • Failure to make timely payment may result in suspension or termination of access without notice

Lucid Crew reserves the right to:

  • Suspend or revoke access immediately for non-payment
  • Restrict features until payment is brought current

We are not responsible for any loss of data, leads, campaigns, or business activity resulting from suspended or terminated access due to non-payment.

12. No Guarantees and Service Separation

Access to the Platform does not guarantee:

  • Leads, sales, or revenue
  • Message delivery or inbox placement
  • Platform uptime without interruption

If the Platform is provided alongside marketing services:

  • Software access and marketing services are separate
  • Results depend on multiple factors outside our control
  • No performance guarantees are made unless explicitly stated in writing

13. Onboarding and User Acknowledgment

By using the Platform, you confirm that:

  • You understand your legal obligations regarding messaging and data use
  • You are responsible for compliance with applicable laws
  • You will not rely on Lucid Crew for legal or regulatory guidance

Failure to follow these requirements is solely your responsibility.

14. Data and Content

You retain ownership of your data.

However:

  • You grant us a limited license to use your data to operate the Platform
  • You are responsible for maintaining backups

Data Retention

  • Upon termination, we may retain your data for up to 30 days
  • After that period, data may be permanently deleted without notice

We are not liable for data loss.

15. Termination

We may suspend or terminate your account at any time for:

  • Violations of these Terms
  • Non-payment
  • Misuse of the Platform

Termination may occur without prior notice.

16. Limitation of Liability

To the maximum extent permitted by law, Lucid Crew is not liable for:

  • Indirect or consequential damages
  • Loss of profits, revenue, or data
  • Claims related to messaging violations
  • Third-party service failures

17. Indemnification

You agree to indemnify and hold Lucid Crew harmless from any claims, damages, or legal actions arising from:

  • Your use of the Platform
  • Violations of laws, including TCPA and CAN-SPAM
  • Messages or content you send or publish

18. Changes to Terms

We may update these Terms at any time. Continued use of the Platform constitutes acceptance of the updated Terms.

19. Governing Law

These Terms are governed by the laws of the State of Texas.
